 STANDARD TERMS AND CONDITIONS

  1. Yester Farm Dairies Ltd reserves the right to accept or refuse a Customer Account Application at its discretion.

  2. You will be deemed to have agreed to these terms and conditions by completing and returning this Customer Account form.

  3. All product prices are subject to variation depending on market circumstances. You will usually be advised of any price variation in advance.

  4. Business account holders: orders should be placed by telephoning Yester Farm Dairies on (01620) 810998 or emailing orders@yesterfarmdairies.co.uk before 12.00 noon on the day prior to the required delivery. Delivery of orders placed after these times cannot be guaranteed. The notice requirements for placing orders may be varied at Christmas and New Year.

  5. A specific delivery time cannot be guaranteed but we will endeavour to deliver on or around the same time each day, save for any delays due to circumstances beyond our control. We will endeavour to advise you in advance of any substantial variation in delivery time.

  6. Delivery of your order will only be made at the address to which you have registered above or otherwise notified to us.

  7. Delivery is subject to availability of the products.

  8. Perishable products will be delivered below 8˚C and should be kept refrigerated by the customer. Yester Farm Dairies Ltd is not responsible for any deterioration in perishable goods due to handling after they have been delivered to the customer. If there is a fault or damage to any products when delivered you must tell us no later than 48 hours after delivery otherwise goods will be invoiced and payable. 

  9. Yester Farm Dairies Ltd does not operate a “sale or return” policy.

  10. Yester Farm Dairies Ltd shall not be liable for any theft or loss of or damage to your products once the products are delivered to your address. If you are concerned about such risks, please make special arrangements for delivery such as a locked crate or providing us with a key or security code.

  11. Unless credit terms are agreed in writing, invoices must be paid on a proforma basis before delivery.  Late payment may result in interest being charged at the rate of 2% per annum above Clydesdale Bank plc base rate from time to time on the outstanding sum due both before and after judgment from the date of invoice. Costs of recovery of late payments, including legal and court fees, will be payable by the customer.

  12. If payment is made by Direct Debit a £25 charge will be levied for every failed Direct Debit, and automatic removal from the Scheme after 2 consecutive failed Direct Debits (at which time any outstanding Fees & Extras will become due in full).

  13. If a Customer uses the services of a procurement agent, we reserve the right to charge a reasonable administration fee.

  14. Price change notifications will be provided in advance where possible and will be contained in the covering email along with weekly or monthly emailed invoices. Unless an alternative method of communication has been requested in writing, price notifications will be deemed to have been accepted upon receipt of the relevant invoice. 

  15. PERSONAL LIABILITY OF DIRECTORS ETC  If the Customer is a limited company, a limited liability partnership, a trust or an unincorporated voluntary association, the directors/members/trustees/office bearers (as the case maybe) of the Customer each personally, jointly and severally, unconditionally and irrevocably (until all sums due to Yester Farm Dairies Ltd by the Customer have been paid whether or not the Customer has ceased trading and/or has been wound up, dissolved or liquidated):

  16. (a)  guarantee the payment of all sums due to Yester Farm Dairies Ltd by the Customer;

    (b) indemnify and hold harmless Yester Farm Dairies Ltd in respect of any losses sustained by Yester Farm Dairies  Ltd  as a result of trading with the Customer; and

    (c) agree that the foregoing guarantee and indemnity shall not be discharged or affected by (i) anything that would not have discharged or affected them if they had been a principal debtor instead of a guarantor; (ii) any waiver, failure to enforce or giving of time by Yester Farm Dairies Ltd; or (iii) any increase in the credit limit extended to the Customer.

  17. If any part of an invoice is disputed the customer agrees to pay the undisputed portion pending resolution of the dispute.

  18. These terms and conditions are governed by Scots law.
